Legal Corporate Manager

PT Multi Medika Internasional, Tbk. is seeking a competent, detail oriented, and highly motivated Corporate Legal Manager with a strong understanding of corporate legal matters to join our team.

Key Responsibilities

Responsible for managing the Corporate Legal function and providing legal support to the Board of Directors, Management, and all business units of the Company.

• Provide legal advice on operational activities, business transactions, strategic partnerships, and corporate decision-making.
• Review, draft, and negotiate various agreements and contracts with both internal and external parties.
• Ensure the Company's compliance with applicable laws and regulations, OJK and IDX regulations, and corporate governance requirements.

Manage legal matters relating to General Meetings of Shareholders (GMS), corporate actions, amendments to the Articles of Association, disclosure obligations, and corporate documents.

• Identify, analyze, and mitigate legal risks that may potentially affect the Company's business activities.
• Manage and coordinate relationships with notaries, legal counsel, regulators, and relevant government authorities.

Provide supervision and guidance to the Legal team and ensure that all assignments are completed in accordance with targets and business requirements.

Monitor regulatory developments and provide recommendations to Management regarding their potential impact on the Company.

Ensure that all legal documents and activities of the Company are properly maintained, documented, and managed in accordance with applicable corporate governance standards.

Qualifications

• Minimum Bachelor's Degree (S1) in Law from a reputable university.
• Minimum 5–8 years of experience in Legal, particularly in Corporate Legal and/or Corporate Governance.

Experience working in a publicly listed company (Tbk), multinational company, or company with a complex corporate structure will be an advantage.

Strong understanding of corporate law, contract law, corporate governance, compliance, and business regulations.

Knowledge of the Indonesian Company Law (Law No. 40 of 2007 on Limited Liability Companies), OJK and IDX regulations, and other regulations applicable to publicly listed companies is an advantage.

• Proven experience in drafting, reviewing, and negotiating commercial agreements and corporate legal documents.
• Experience conducting legal due diligence, legal risk assessments, and legal compliance reviews.
• Experience liaising with notaries, legal counsel, regulators, and government authorities.
• Strong leadership, negotiation, analytical thinking, problem-solving, and communication skills.
• Good command of English, both written and spoken, particularly in understanding, drafting, and reviewing legal documents.
• Mandarin language proficiency, both written and spoken, is an advantage.
• Indonesian Advocate/PERADI license or experience as a corporate lawyer is an advantage.
• Detail-oriented, highly ethical, proactive, and able to work independently as well as collaboratively within a team.
• Ability to work effectively under targets, deadlines, and changing business priorities.
