to lead its corporate legal function and provide strategic legal support across the organization. This role is responsible for ensuring legal compliance, strengthening corporate governance, mitigating legal risks, and enabling sustainable business growth through sound legal guidance.

Job Description

Provide strategic legal advice to management and business units on corporate, commercial, and operational matters.

Draft, review, negotiate, and manage a wide range of commercial agreements, including service agreements, procurement contracts, partnership agreements, NDAs, and other legal documents.

• Ensure the company's compliance with applicable laws, regulations, and corporate governance requirements.
• Lead corporate secretarial matters, including board resolutions, shareholder meetings, corporate licensing, and statutory filings.
• Identify, assess, and mitigate legal risks associated with business operations, strategic initiatives, and commercial transactions.
• Support mergers, acquisitions, joint ventures, investments, and other corporate transactions, including legal due diligence where required.
• Coordinate and manage external legal counsel to ensure efficient and cost-effective legal services.
• Handle legal disputes, claims, regulatory matters, and litigation while protecting the company's interests.
• Develop, review, and strengthen internal legal policies, governance frameworks, and compliance procedures.

Partner closely with senior management and cross-functional teams, including Finance, HR, Procurement, Operations, and Compliance, to provide practical legal solutions that support business objectives.

Lead, mentor, and develop the Corporate Legal function while fostering a culture of integrity, accountability, and continuous improvement.

Qualifications

Bachelor's Degree in Law (S.H.); a Master's Degree (LL.M. or equivalent) is an advantage.

Minimum 8–10 years of experience in Corporate Legal, Commercial Legal, Legal Counsel, or related roles, with leadership experience managing legal teams or functions.

• Strong knowledge of Indonesian corporate law, commercial law, contract law, labor law, and regulatory compliance.
• Proven experience drafting, reviewing, and negotiating complex commercial contracts.
• Experience handling corporate governance, licensing, regulatory matters, and legal risk management.
• Exposure to mergers and acquisitions, corporate restructuring, or major commercial transactions is an advantage.
• Strong leadership, analytical thinking, negotiation, and decision-making skills.
• Excellent communication and stakeholder management skills, with the ability to influence and advise senior management.
• Ability to work in a fast-paced environment, manage multiple priorities, and maintain high standards of professionalism and confidentiality.
• Fluent in both Bahasa Indonesia and English, with excellent legal drafting and negotiation skills.
